1) Definitions

• App: the AutoPilotSEO Shopify app and companion tools.
   

• User Data: data you provide or make available to us, including credentials, store data, content, settings.
   

• Scraped Data: data we crawl/collect from your websites/stores you control or connect.
   

• Collected Data: User Data + Scraped Data.
   

• Outputs: content generated by the Services (e.g., blogs, drafts, metadata).
   

• Third-Party Services: platforms/providers we rely on (Shopify, OpenAI, Google, hosting, analytics, payments).
   

• Fair Use: reasonable usage within expected plan parameters, as determined by us.
   

• Force Majeure: events beyond our reasonable control (see Section 18).
   

• Intellectual Property (IP): patents, copyrights, trademarks, trade secrets, and other proprietary rights.
   

• Tel Aviv Courts: the competent courts in Tel Aviv, Israel.
   

 

2) Scope; License; Changes

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for internal business purposes. We may modify, suspend, or discontinue any feature or the Services with or without notice, and without liability. Continued use after updates constitutes acceptance.

 

3) Shopify Platform Dependency

You acknowledge that the Services depend on the Shopify platform and its APIs. We are not responsible for any disruption, suspension, termination, or changes to Shopify’s platform, policies, or APIs. If Shopify suspends, restricts, or removes our App, we have no obligation to provide alternatives or refunds.

 

4) Third-Party Services & AI Providers

(a) Dependencies. You agree to third-party terms (e.g., Shopify, OpenAI). We are not liable for their outages, errors, or billing practices.

(b) AI Providers. The Services use third-party AI (e.g., OpenAI). We are not responsible for training data, biases, outputs, or legal compliance of such models. Any claims relating to AI training or sources must be directed to the provider.

 

5) Registration; Account Security

You must be at least 18 (or have guardian consent) and legally capable. You are responsible for your credentials and all account activity. Notify us immediately of any breach or misuse.

 

6) Data Collection, Scraping, Processing, Retention

(a) Scraping. You authorize us to access, crawl, scrape, collect, store, and process data from your sites/stores/services you control. You warrant you obtained all necessary rights and consents.

(b) Use of Data. We may use Collected Data to operate, secure, analyze, improve, and enhance Services, and for aggregated analytics.

(c) Competitor Limitation. We will not knowingly share your non-anonymized Collected Data with direct competitors. We may use aggregated, anonymized data for improvements.

(d) Retention & Deletion. You may request deletion by email. We will process within 30 business days. Deletion is irreversible and may affect functionality.

(e) Backups. You are solely responsible for exporting/backing up data before termination.

 

7) Privacy; GDPR/DPA; Sub-Processors

If you process EU/UK personal data:

• You are data controller; we are data processor.
   

• A DPA is available upon request.
   

• We may use sub-processors (list available upon request at support@tryautoseo.com).
   

• You must ensure you have legal bases and consents for data processing.
   

 

8) AI Outputs; SEO Policies; Your Responsibilities

(a) AI Disclaimer. Outputs may be inaccurate, biased, or unsuitable. No warranties are given.

(b) IP Warning. Outputs may inadvertently resemble third-party IP. You are solely responsible for verifying originality/non-infringement.

(c) SEO Policies. You are solely responsible for ensuring compliance with search-engine guidelines (Google, etc.). We are not liable for penalties, de-indexing, or ranking losses.

(d) Review Required. You must review, fact-check, edit, and approve all Outputs before publication or reliance. Your failure to do so does not diminish your sole responsibility for published content or any resulting harm, claims, or liability.

 

9) Automated Publishing

You authorize the App to publish content directly to your Shopify store. You acknowledge the risk of overwrites, deletions, or formatting issues. You are solely responsible for backups, review, and store recovery. We are not liable for data loss or unintended publication.

 

10) User Content; Licenses; Feedback

(a) Your Content. You retain ownership of pre-existing content.
(b) Outputs License to You. Subject to third-party rights, you get a license to use Outputs.
(c) License to Us. You grant us a perpetual, worldwide, irrevocable, royalty-free, sublicensable license to use Collected Data and Outputs for operating, improving, and training our models/algorithms, and for marketing examples/case studies (unless you opt out).
(d) Feedback. Submissions/feedback are ours to use without restriction.

 

11) User Representations, Warranties & Indemnity

(a) Your Representations. You represent that:

• Your content and data are lawful and free of malware.
   

• You have all rights/consents to provide data.
   

• You comply with laws, regulations, Shopify policies.
   

(b) Indemnification. You agree to indemnify, defend, and hold harmless AutoPilotSEO, affiliates, officers, employees, and partners against all third-party claims, damages, costs (including attorneys’ fees) arising from:

• Your content, data, or Outputs;
   

• Your use/misuse of Services;
   

• Scraping/publishing authorized by you;
   

• Your breach of Terms or law.
   

We may assume exclusive defense at your expense, and you must cooperate.

 

12) Acceptable Use; Content Moderation; Fair Use

(a) Prohibited Activities. No law violations, infringement, reverse engineering, abuse, spam, malware, or scraping of our Services without permission.

(b) Content Moderation. We reserve the right (but not obligation) to review, monitor, flag, filter, modify, refuse, or remove Outputs or User Content at our discretion if violating law, these Terms, or posing risk.

(c) Fair Use. We apply Fair Use thresholds. Excessive/abusive use may result in upgrade requirement, throttling, suspension, or termination.
Examples:

• Over 10,000 blog generations/month.
   

• API calls above 1,000/hour.
   

• Sustained heavy scraping beyond normal plan usage.
   

(d) Enforcement Timeline. We will provide notice (email or in-app) when possible before action. You will have 7 business days to remedy unless immediate suspension is required for severe violations or infrastructure risk.

13) Payments, Fees & Refunds

• All billing is handled via Shopify (or another platform’s billing system).
   

• By approving charges, you authorize recurring charges until uninstallation/cancellation.
   

• All fees are final and non-refundable, except as required by law or at our sole discretion.
   

• We may introduce new paid features, add-ons, or tiers at any time. Your use of such features constitutes acceptance of applicable fees.
   

• Uninstalling does not entitle you to pro-rata refunds for the current billing cycle.
   

 

14) No SLA / Uptime Disclaimer

We provide no Service Level Agreement. We do not guarantee uptime, availability, response times, performance, or continuity. All Services are provided on a best-efforts basis only. Planned/unplanned downtime does not constitute breach or grounds for refunds.

 

15) Service Management & Interruptions

We may, at our sole discretion, with or without prior notice, and without liability:

• suspend, throttle, or terminate accounts suspected of misuse, violation, or risk;
   

• modify, update, or discontinue any Services/features;
   

• disable/remove content/Outputs violating law, these Terms, or posing risk.
   

We are not obligated to maintain or update Services, nor to provide bug fixes or feature continuity.

 

16) Disclaimers

The Services and Outputs are provided “as is” and “as available” without warranties of any kind.
We disclaim all express/implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee:

• SEO improvements, search rankings, sales, or conversions;
   

• uptime, availability, or error-free operation;
   

• any minimum quantity, quality, accuracy, or commercial value of Outputs.
   

 

17) Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, punitive, or special damages (including lost profits, sales, goodwill, or data).
   

• Our total liability is limited to the lesser of: (i) amounts you paid us in the last six (6) months, or (ii) USD $100.
   

• Some jurisdictions may not allow exclusions; in such cases, our liability is capped to the maximum extent permitted.
   

 

18) Force Majeure

We are not liable for failure/delay caused by events beyond reasonable control, including: natural disasters, war, terrorism, labor disputes, government actions, strikes, hosting/cloud failures, power outages, or outages of third-party platforms (Shopify, OpenAI, payment providers).

 

19) Marketing & Publicity Rights

Unless you opt out by written notice, you grant us permission to use your organization/store name and logo in marketing materials, case studies, and our websites, in line with brand guidelines you provide.

 

20) Electronic Transactions & Communications

By using the Services, you consent to receive electronic communications from us (email, in-app, notices).
Electronic submissions, approvals, and signatures are legally binding and equivalent to paper contracts.
You waive requirements for non-electronic records to the maximum extent permitted by law.

 

21) Termination

• You may uninstall/stop using at any time.
   

• We may suspend/terminate immediately for breaches, law violations, misuse, non-payment, Shopify requests, or risks — except for minor, first-time, or inadvertent breaches, where we may (at our discretion) provide 48 hours to cure.
   

• Upon termination, your rights cease immediately, and data may be deleted without obligation to return/retain it (subject to legal retention).
   

• Provisions on IP, Data, Privacy, Indemnity, Liability, and Governing Law survive termination.
   

 

22) Governing Law & Dispute Resolution

• These Terms are governed by Israeli law.
   

• Exclusive jurisdiction: Tel Aviv, Israel courts.
   

• Good-faith informal resolution required: Before filing a claim, parties must attempt resolution for 30 days via written notice (except IP/injunctive relief).
   

• Class actions and representative proceedings are waived unless we consent in writing.
   

 

23) Miscellaneous

• Amendments: We may amend these Terms anytime by posting at [https://www.tryautoseo.com/terms-of-service]. Material changes will be notified via email or in-app. Continued use = acceptance.
   

• Interpretation: Ambiguities are not construed against us; these Terms are interpreted neutrally.
   

• Entire Agreement: These Terms supersede all prior agreements, negotiations, or representations relating to the Services.
   

• Severability: If any provision is invalid, others remain in effect.
   

• Assignment: You may not assign without consent; we may assign freely.
   

• Headings: Section titles are for convenience only.
   

 

24) Intellectual Property Ownership

We (and our licensors) retain all rights, title, and interest in the Services, including all code, software, algorithms, models, APIs, databases, designs, trademarks, and technology (“Company IP”).
No rights are granted to you except the limited license in Section 2.
You may not use, copy, modify, distribute, or create derivative works of Company IP.
Reverse engineering, decompilation, or extraction of proprietary methods/trade secrets is prohibited.
Feedback, ideas, or suggestions you provide become our property, usable without restriction or compensation.
 

25) Age Restriction & Children’s Privacy (COPPA)

The Services are intended for users aged 18 and older. By using the Services, you represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction, if higher), or that you are using the Services with the active consent and supervision of a parent or legal guardian.

We do not knowingly collect, solicit, or process personal data from children under 13 years of age (or under 16 in jurisdictions applying the Children’s Online Privacy Protection Act (COPPA) or equivalent laws). If we discover that we have inadvertently collected such data without proper consent, we will delete it as soon as practicable.

Parents or guardians who believe their child has provided us with personal data may contact support@tryautoseo.com to request removal.
