1. Definitions
App – The AutoPilotSEO Shopify application, backend systems, models, dashboards, and related tools.
User – The Shopify store owner or authorized administrator.
User Data – All information provided by the User or through Shopify API (name, email, store details, settings, operational metrics).
Scraped Data – Publicly available SEO-visible store content collected automatically (product names, metadata, public HTML, schema).
Customer Data – Any personal data belonging to the store’s customers. The App does not collect, store, or process Customer Data unless granted access through explicit Shopify permissions.
Collected Data – User Data + Scraped Data.
Outputs – AI-generated text, images, metadata, and all generated content.
Third-Party Services – Shopify, OpenAI, Google, hosting, analytics, and other providers.
Link Network – AutoPilotSEO’s automated reciprocal cross-store linking system.
Personal Data – Any information relating to an identified or identifiable natural person as defined under GDPR.
Governing Courts – The competent courts of Tel Aviv-Jaffa, Israel.
2. Consent and Agreement
By installing the App, approving billing, enabling write access, or using the App, the User:

Provides explicit and affirmative consent to these Terms.

Explicitly authorizes the App to access approved Shopify API scopes.

Explicitly consents to participation in the Link Network (with the option to disable).

Acknowledges they are not required to install the App and installation is voluntary.
If the User does not agree to these Terms, they must not install or use the App.
3. Scope; License
The Company grants a limited, revocable, non-transferable license to use the App for business purposes.
The Company may modify or discontinue features at any time with notice.
4. Shopify Platform Dependency
The App depends entirely on Shopify’s API. The Company is not responsible for:
– API changes
– policy enforcement
– suspensions
– access restrictions
No refunds are provided if Shopify limits or blocks access.
5. Third-Party Services and AI Models
The User agrees to the terms of all integrated providers.
The Company is not responsible for outages, model errors, AI training data, or billing practices of third-party services.
6. Data Collection and Use
(a) Data Collected via Shopify and User Interaction
– User’s name
– User’s email
– Store name and URL
– Store ID
– Shopify plan
– Store age
– Location (country, city, province)
– Currency
– Product counts
– Collections structure
– Blog counts
– Sales volume brackets (if available via authorized API scopes)
– Communication logs (support interactions)
(b) Scraped Data (Public Information Only)
Collected only from public pages: product names, metadata, public HTML, blog text, schema markup.
(c) Customer Data
The App does not collect or process Customer Data unless the User explicitly grants such access via Shopify permissions.
When granted, processing is governed under GDPR as a Processor.
(d) Purpose of Processing
Collected Data is used to:
– operate and provide the service
– generate SEO content
– match stores within the Link Network
– secure the system
– improve algorithms
– detect fraud or abuse
– perform analytics
No sensitive business data (such as revenue, performance, or internal metrics) is shared with other stores.
(e) Retention and Deletion
Users may request full deletion of all identifiable data.
Deletion will be completed within 30 business days.
Anonymized data may be retained for compliance or analytics.
7. GDPR / CCPA Compliance
The User is the Data Controller; the Company is the Data Processor.
The Company shall:
– Provide a Data Processing Agreement (DPA) upon request
– Provide a list of sub-processors (OpenAI, Google Cloud, hosting providers)
– Ensure data portability rights
– Respect rights of erasure, rectification, and objection
– Refrain from automated decision-making that produces legal effects
– Provide breach notice within 72 hours
The User must obtain all necessary consents from individuals whose data is processed.
8. AI Output, Ownership, and Responsibility
(a) Ownership of AI Outputs
All Outputs are assigned to the User upon generation, subject to third-party rights.
The Company disclaims any ownership over final published content.
(b) Intellectual Property and Originality
Outputs may contain similarities to third-party materials.
The Company cannot guarantee originality or non-infringement.
The User is solely responsible for verifying originality before publishing.
(c) SEO and Search Engine Risks
The Company does not guarantee:
– rankings
– traffic
– indexing
– avoidance of Google penalties
– algorithm stability
The User assumes all SEO-related risks.
(d) User Review Requirement
The User must review and approve every Output.
Failure to do so is solely the User’s responsibility.
9. Automatic Publishing
By approving write access, the User gives explicit consent to:
– create blogs
– update store content
– modify blog HTML
– insert internal/external links
The User must manually review all published content.
A separate checkbox or consent may be required during installation to comply with Shopify requirements.
10. User Content and Licenses
The User maintains full ownership of User-provided content.
The Company receives a non-exclusive, royalty-free license to use Collected Data to operate and improve the App.
The User may opt out of marketing use of Outputs.
11. Representations and Indemnification
The User represents that all data provided is lawful.
Revised Indemnification (Legally Enforceable)
The User agrees to indemnify the Company for claims arising from:
– unlawful User content
– misuse of the App
– violation of laws
– SEO penalties resulting from User modifications
However:
The User is not required to indemnify the Company for damages caused by the Company’s gross negligence, willful misconduct, or violations of law.
12. Acceptable Use; Moderation; Fair Use
Prohibited uses:
– harmful content
– illegal activities
– reverse engineering
– bypassing API limitations
– black-hat SEO
The Company may suspend or restrict usage at its discretion.
13. Payments, Fees, and Refunds
Billing is processed via Shopify.
Fees are non-refundable after blog generation.
Uninstalling does not stop charges already approved.
14. No Service Level Agreement
The Company provides no guarantees of uptime, performance, or continuity.
15. Service Management
The Company may suspend or limit access for:
– violations
– excessive load
– fraud
– legal obligations
– failure to pay
– Shopify enforcement actions
16. Disclaimers
The App is provided “as is,” without warranties of any kind.
17. Limitation of Liability
Liability is capped at the higher of:
(a) the amount paid in the previous 6 months, up to USD $5,000, or
(b) USD $1,000 minimum.
No liability for indirect or consequential damages unless prohibited by law.
18. Force Majeure
A Force Majeure event includes:
– war
– civil unrest
– terrorism
– natural disasters
– pandemic events
– cyberattacks
– server outages
– government actions
– labor strikes
– hosting provider failures
The Company is not liable for delays caused by such events.
19. Marketing Rights
Unless opted out in writing, the Company may reference the User’s store name/logo in marketing and case studies.
20. Electronic Communications
Digital approvals and billing confirmations constitute legally binding consent.
21. Termination
Users may uninstall at any time.
The Company may terminate access for violations or risks.
Data may be deleted upon termination.
22. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Israel.
Exclusive jurisdiction lies with:
The competent courts of Tel Aviv-Jaffa, Israel.
Arbitration Option:
The Company may offer binding arbitration as an alternative dispute resolution method upon mutual agreement.
23. Severability
If any provision is found unlawful or unenforceable, the remaining provisions shall remain in effect.
24. Assignment
The Company may assign these Terms in the event of merger, acquisition, or sale of assets.
The User may not assign rights without written consent.
25. Modification Notice Procedure
The Company may update these Terms from time to time.
Material changes will be notified via email or in-app notice at least 7 days before becoming effective.
Continued use constitutes acceptance.
26. External Linking Network (Link Network)
(a) Consent
By installing the App or approving billing, the User provides explicit consent to participate.
(b) Reciprocal Linking Disclosure (Required)
Participation in the Link Network is reciprocal:
– The User’s store may link to other participating stores.
– Other participating stores may link to the User’s store.
(c) Nature of Links
Links are algorithmic and automated, not manual editorial content.
The Company makes no guarantee regarding compliance with search engine interpretations of link schemes.
(d) Matching Logic
Matches are based on:
– niche
– SEO signals
– public product categories
– anonymized metrics
No sensitive business data is shared.
(e) No Advance Notice
Links are inserted automatically without prior notice.
Users must review and may remove links manually.
(f) Opt-Out
Users may disable the Link Network in Preferences or via Support at any time.
Removal takes effect immediately; full propagation within 7 business days.
Historical links on other stores are not removed.
(g) Link Limits
Free: 1/month
Tier 2: 3/month
Tier 3: 6/month
Tier 4: 10/month
(h) User Acceptance of SEO Risk
The User accepts all SEO risks, including misclassification, duplicate links, algorithm changes, and potential penalties.
